Negotiations & Heads of Terms
We will lead negotiations, predominately striving to achieve terms which are favourable to you but will endeavour to bridge any gaps in the requirements of the target shareholders and directors by re-negotiating any terms which are not acceptable to either party.
We will use our experience in negotiations to ensure that the Heads of Agreement are drawn up and exploit the key levers to enhance the deal for the directors and ensure the deal structure is aligned with the risk areas and that all necessary commercial aspects are covered.
At this point we will also work alongside your chosen corporate lawyer to ensure that the Heads of Agreement reflect the legal risks of the transaction and the key terms are agreed upfront to avoid uncertainty and extra costs later in the process.
